MAIN DUTIES :
- Legal filing: File the signed documents into legal folders (soft & hard copies); Update the latest version of the documents (policies & templates) on the sharepoint & legal folder;
- Corporate affairs: Regular board documents preparation (annual board meetings for audit reports approval, acceptance/adjustment of bank facility, etc.); Integrate the AOA and amendments of the entities into an execution version; Update the summaries of company basic information (legal structure & directors info); POA update mainly subject to the personnel changes;
- Legal admin: Collect the signatures of the signatories (both in Greater China & abroad); Coordinate with local admin colleagues re. documents for AMR submission; Chase the signed version of the documents and send to corporate legal team; Go to the notary office for notarization for the directors if necessary; SAP related (new vendor creation, place PR, payment confirmation); Summary of legal payments;
- Compliance: Collect annual compliance certificates; and
- Department admin: Coordinator for legal department (attend admin and HSE coordinators’ meetings and deliver updated requirements of the company to the team members); and Other departmental affairs.
主要职责:
-法律归档:将签署的文件归档到法律文件夹中(软拷贝和硬拷贝);更新sharepoint&legal文件夹中文档(策略和模板)的最新版本;
-公司事务:定期准备董事会文件(年度董事会会议,以批准审计报告、接受/调整银行贷款等);将AOA和实体的修订整合到执行版本中;更新公司基本信息摘要(法律结构和董事信息);POA更新主要取决于人员变化;
-法律管理员:收集签字人的签名(大中华区和海外);与当地行政同事协调。AMR提交文件;追踪文件的签名版本并发送给公司法律团队;必要时到公证处为董事办理公证;SAP相关(新供应商创建、地点请购单、付款确认);法定付款汇总;
-合规:收集年度合规证书;
-部门行政:法律部门协调员(参加行政和HSE协调员会议,并向团队成员传达公司的最新要求);以及其他部门事务。
